Terms and Conditions for Personalized Dementia Solutions Inc.

Effective Date: February 15, 2025

Thank you for choosing the products/services from Personalized Dementia Solutions Inc. (“PDS,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) outline the agreement between you (“Member,” “you,” or “your”) and PDS regarding your use of our products/services. By signing up for any of our products/services, you agree to the following Terms:

1. Membership Overview

PDS provides you access to education, resources, tools, and support services designed to assist both professional and family caregivers of individuals living with dementia. Products/services may include but not limited to:

• Online self-paced education courses.
• Online memberships.
• Educational webinars and workshops.
• One-on-one consultations with dementia care professionals.  
• Online support groups.  
• Access to an online caregiver support community.
• Weekly/monthly newsletters with tips and strategies.
• Additional resources as outlined on our website.

2. Fees and Payment

Fees are outlined on our website and may vary depending on the product/service selected and the payment options offered. 

• You agree to provide current, complete, and accurate purchase and account information for all your purchases. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. 

• Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in Canadian dollars.  

• Recurring Payments: Your recurring payments will continue and automatically renew unless canceled or until the product/service you purchased using a payment plan (such as the CDCP™ Dementia Designation program) is paid in full. You consent to us charging your payment method on a recurring basis without requiring your prior approval for each recurring charge.

• Recurring Payments’ Changes: We may, from time to time, make changes to the products/services’ prices and will notify you, in advance, regarding any applicable changes in your recurring payments.

• Non-Refundable: All fees are non-refundable, except for the CDCP™ Dementia Designation program fees, under specific circumstances. Learn more at the CDCP Cancellation and Refund Policy

3. Cancellation and Termination

• Cancellation by You: You may cancel your recurring payments at any time by contacting us at [email protected] or call 1-888-502-1321. Your cancellation will take effect at the end of the current paid term.
• Termination by Us: PDS reserves the right to terminate your access to the product/service you purchased if you breach these Terms, misuse the services, or engage in behaviour that is harmful to other members or staff.
• If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action.

4. Use of Products/Services and Intellectual Property

• Our product/services are intended for personal, non-commercial use.

• All content, materials, and resources provided, including but not limited to course materials, handouts and website content, are the intellectual property of PDS. You agree to not reproduce, distribute, or create derivative work based on our content without our express written permission.

5. Modifications and Interruptions 

• We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the products/services at any time or for any reason at our sole discretion without notice to you. We have no obligation to update any information related to our products/services. We also reserve the right to modify or discontinue all or part of the products/services at any time without notice. 

• We cannot guarantee the products/services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the products/services, resulting in interruptions, delays, or errors. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the products/services during any downtime or discontinuance of the products/services. Nothing in these Terms will be construed to obligate us to maintain and support the products/services or to supply any corrections, updates, or releases in connection therewith.

6. Corrections 

There may be information in the products/services that contain typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information in the products/services at any time, without prior notice.

7. Privacy and Data Protection

• Your privacy is important to us. We collect and use your personal information in accordance with our Privacy Policy, which can be found on our website. By signing up for our products/services, you consent to the collection, use, and storage of your personal information for the purpose of providing these products/services.
• We will maintain certain data for the purpose of managing the performance of the products/services, as well as data relating to your use of the products/services through regular routine backups of said data.

8. Electronic Communications & Transactions

Visiting the products/services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and in the products/services, satisfy any legal requirement that such communication be in writing. 

9. Limitations of Liability

• PDS provides the products/services “as is” and makes no guarantees regarding the outcomes or effectiveness of the products/services.
• To the extent permitted by law, PDS shall be held harmless and shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the products/services.

10. Changes to Terms and Services

PDS reserves the right to update or modify these Terms at any time. You will be notified of significant changes via email or through updates on our website. Continued use of the products/services after changes are made constitute your acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in British Columbia, Canada.
